History

In June 2022, Kellogg's revealed a plan to separate its operations into three distinct companies focused on cereal, snacks, and plant-based foods. The cereal and plant-based divisions were set to remain in Battle Creek, while the snack and international cereal arm would operate from Chicago. The cereal unit, initially called North America Cereal Co., was poised to become the second-largest cereal maker in the U.S. and the top player in Canada and the Caribbean, holding five of the top eleven brands and generating $2.4 billion in yearly revenue.

By January 2023, Kellogg's dropped the idea of spinning off the plant-based business, folding it into the snack division instead. In March 2023, the company named the cereal branch WK Kellogg Co and the snack division Kellanova. The split was finalized in October 2023, with Kellanova as the continuing entity, trading under the ticker "K" on the NYSE, while WK Kellogg Co used "KLG." In August 2024, Mars Inc. agreed to buy Kellanova for nearly $30 billion.

The deal received U.S. Federal Trade Commission approval but was held up by the European Commission, which did not clear it until December 8, 2025. The acquisition closed three days later, on December 11, 2025. Kellanova was then folded into Mars, its CEO Steve Cahillane left the company, and its shares were removed from the New York Stock Exchange.
